1. Acceptance of Terms

By accessing or using the Big Food platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

Big Food is a web-based application designed for food production management and traceability. It allows users to track suppliers, raw materials, and semi-finished products throughout the production process.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, except to the extent required by applicable law.

For EU Consumers: Nothing in these Terms affects your statutory rights under EU consumer protection legislation, including the Consumer Rights Directive and national consumer protection laws. Where we provide the Service to consumers, we provide warranties and guarantees as required by law, and the "as is" disclaimer above does not apply to the extent it conflicts with your mandatory legal rights.

3. User Accounts

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party.

4. Subscription and Payments

Some aspects of the Service require a paid subscription. By selecting a subscription plan, you agree to pay the subscription fees indicated for that service.

Payments will be charged on the day you sign up for a subscription and will cover the use of that service for the period indicated.

EU Consumer Rights - 14-Day Withdrawal Period

For EU Consumers: If you are a consumer in the European Union, you have the right to withdraw from your subscription within 14 days of purchase without giving any reason, and receive a full refund.

This right does not apply if you have fully used the Service during this 14-day period with your prior express consent and acknowledgment that you will lose your right of withdrawal once the Service has been fully performed.

To exercise your right of withdrawal: Please contact us at support@bigfood.com within 14 days of your subscription purchase, clearly stating your decision to withdraw.

After the 14-day withdrawal period: Subscription fees are non-refundable, except as required by applicable law or as otherwise stated in these Terms. If you cancel your subscription before the end of the current billing period, you will retain access to the Service until the end of that period, but no refund will be provided for the remaining time.

Price Changes

We reserve the right to change our subscription plans or adjust pricing for our service. For existing subscribers, we will provide at least 30 days' notice before any price increase takes effect. You will have the option to cancel your subscription before the new pricing applies.

5. Data and Privacy

Our Privacy Policy, available at Privacy Policy, describes how we handle the information you provide to us when you use our Service. You understand that through your use of the Service, you consent to the collection and use of this information as set forth in the Privacy Policy.

You retain all rights to your data. We will not sell or share your data with third parties except as necessary to provide the Service or as required by law.

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Big Food and its licensors. The Service is protected by copyright, trademark, and other laws of Italy, the European Union, and international treaties including the Berne Convention and the TRIPS Agreement.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Big Food.

7. User Content

Our Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, or other material ("Content"). You are responsible for the Content that you post on or through the Service, including its legality, reliability, and appropriateness.

By posting Content on or through the Service, you represent and warrant that: (i) the Content is yours (you own it) and/or you have the right to use it and the right to grant us the rights and license as provided in these Terms, and (ii) that the posting of your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person or entity.

8. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

Data Export Upon Termination

Upon termination of your account (whether by you or by us), you will have 30 days to export your data from the Service. You can export your data through the Service interface or by contacting our support team at support@bigfood.com.

After this 30-day period, your data will be deleted in accordance with our data retention policy as described in our Privacy Policy, except where we are required to retain it by law for tax, accounting, or other legal obligations.

We strongly recommend that you regularly back up your data and maintain your own copies independent of the Service.

9. Limitation of Liability

Subject to the limitations set out below, in no event shall Big Food, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

To the extent permitted by applicable law, our total liability for direct damages arising from breach of contract is limited to the amount you paid for the Service in the 12 months preceding the claim.

EU Consumer Protection

For EU Consumers: Nothing in this section limits or excludes our liability for:

  • Death or personal injury caused by our negligence or that of our employees, agents, or subcontractors
  • Fraud or fraudulent misrepresentation
  • Breach of the terms implied by law regarding title and quiet possession
  • Breach of the terms implied by law regarding description, quality, and fitness for purpose (to the extent we provide the Service to consumers)
  • Any other liability that cannot be excluded or limited under applicable law

If you are a consumer in the EU, nothing in these Terms affects your statutory rights under mandatory consumer protection legislation. The Service comes with legal guarantees under EU law, and these Terms do not affect those rights.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

11. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of Italy and the European Union, without regard to conflict of law provisions.

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of [CITY, ITALY], unless mandatory consumer protection laws of your country of residence provide otherwise.

For EU Consumers: Nothing in this section affects your rights under mandatory consumer protection legislation. If you are a consumer resident in the EU, you may bring legal proceedings in relation to these Terms in either the Italian courts or the courts of your country of residence.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
